Why Incorporate?
As an unincorporated association the committee members may
be personally liable for the debts of the club. In today's litigious
climate the committee feels now would be an appropriate time to gain the
protection of incorporation.

How will the Club and the Company be managed?
Essentially as a member
you will see no difference to the way the club is managed. There are some
requirements to submit annual filings to Companies House and to submit formal
financial accounts but this will be taken care of by the board. Annual General
Meetings (AGM) are a little more formal and as a member your attendance
is highly encouraged. If the club is wound up then every member will have to
contribute towards the winding up costs (but only up to one pound!).
The
Company Board is formed by the club President, club Chairman, club
Secretary and club Treasurer. The Board delegates all day to day
management activities of the club to the Committee. The members of the
Committee (and hence the Board) will be elected by the members at the AGM
The
Club
Rules will on the
whole remain unchanged.
Details of the club directives can be found in the Memorandum of
Association.
Details of how the club will be run can be found in the
Articles of Association.
